The terms below are incorporated into, and form an integral part of, the Solarek Studio Member User Agreement. Unless otherwise defined herein, capitalized terms shall have the meaning ascribed them in the Member User Agreement. Any breach of the terms below will be deemed a material breach of the Member User Agreement.

Audience.
The terms below apply to brands, distributors, vendors, or suppliers (hereafter referred to as "Supplier") that manage and share their products (hereafter referred to as "Synced Products") with other members (i.e. retailers, sales reps, etc.) via the Shop Local Service. Synced Products are products that are managed by the supplier and shared with members on a permission basis.
Intent & Responsibility.
The Supplier recognizes that members rely on these Synced Products, including for receiving orders, helping customers, and general business decisions. As such, the Supplier agrees to maintain the data with the same care it would data on its own website.
Initial Setup.
Solarek Studio (hereafter referred to as "Shop Local") agrees to provide Supplier with a Bridge account through which it can add, edit, and delete Synced Products.

Supplier agrees to pay a one-time set up charge of $329.
Maintenance.
Supplier agrees to maintain and update Synced Products in its account, including:
- Product names
- Retail and wholesale prices
- Collection (pattern) organization and descriptions
- Product and collection pictures
- Dimensions (optional)
- Stock (optional)
- Other supported data (optional)
For example, if a price change is needed for a Synced Product, Supplier will make this update. If a new item is released, Supplier will add this item and a picture for this product. Supplier may choose to upload product stock to its Shop Local account. This enables friended businesses, when logged in, to view stock levels for products.
Pricing.
Supplier agrees to enter retail prices in Shop Local that are consistent and not higher than normally listed on comparable websites. This 'favored nation' clause helps ensure that prices entered into Bridge are not more than on other non-Shop Local sites and that Shop Local members are not at a disadvantage.
Promotion.
Shop Local agrees that Supplier may promote your participation in Shop Local. In turn, Supplier agrees that Shop Local may promote Supplier's participation in Shop Local. Supplier agrees that Shop Local may use its logo in materials used to promote Shop Local.
Syncing Synced Products & Membership.
Shop Local agrees that Supplier decides with which business it may Sync products and use Supplier's intellectual property (i.e. images). Shop Local or Supplier may decide to not offer Shop Local to a client for any reason.
Cost of Service to Receivers of Synced Products.
Supplier agrees that Shop Local sets the price it charges other businesses to share data and participate in the Shop Local service.
Cost of Service to Supplier.
Supplier agrees to pay monthly per brand for the Syncing service. Sharing products with another business is referred to as 'Syncing.' Pricing is charged by Synced business.

PRICING PER BRAND:
Sync with up to 25 businesses: $35/month
Sync with up to 75 businesses: $105/month
Sync with up to 150 businesses: $210/month

NUMBER OF PRODUCTS YOU CAN SYNC PER BRAND:
Up to 500 products: Free
Up to 1,500 products: $39/month
Up to 2,500 products: $69/month
Up to 4,000 products: $89/month
Unlimited products: $109/month

Intellectual Property.
Supplier retains rights to the intellectual property entered by it into Shop Local. Supplier gives Shop Local permission to use its intellectual property for the purpose of Shop Local's services, including for the purpose of sharing its content (products, news, etc).
Termination of Synced Products Service.
Supplier agrees to give Shop Local a 90-day notice before removing Synced Products with the purpose of termination. Supplier acknowledges that removing synced products before such time may negatively affect Shop Local and its members and will harm their ability to conduct business.
Indemnity.
Supplier agrees to not hold Shop Local responsible for any mistakes that it makes in updating Supplier's data. Supplier agrees to 'proof' all data entered in Shop Local either directly by Supplier or by Shop Local on behalf of Supplier. Supplier agrees to indemnify Shop Local for any mistake, including but not limited to pricing errors.
